1. Acceptance
By applying to list, signing a partner agreement, or activating a listing on HuddleOut, you ("Vendor") agree to be bound by these Vendor Terms & Conditions in addition to any signed agreement.
2. About HuddleOut & the Vendor
HuddleOut Technologies Pvt. Ltd. operates a B2B marketplace that connects corporate teams with experience operators. HuddleOut acts as a facilitator and payment collection agent — it does not operate venues itself. The Vendor is solely responsible for the safe, lawful and high-quality delivery of every booked experience.
3. Eligibility
Vendors must:
- Operate from their own premises (the experience cannot be delivered at the customer's office, home or any third-party location).
- Hold all required statutory licences (FSSAI, fire, trade, alcohol — as applicable).
- Maintain valid public liability insurance for the listed activity.
- Be GST-registered, OR be willing to operate via HuddleOut's billing entity for GST-compliant invoicing.
4. Listing Content
Vendor is responsible for the accuracy of all listing details (price, capacity, inclusions, photos). Photos must be original or licensed; HuddleOut may suspend listings using infringing imagery. HuddleOut reserves the right to edit titles, descriptions and tags for clarity, SEO and consistency, and to reject listings that misrepresent the experience.
5. Pricing & Commission
The commission, payout schedule and minimum pricing are agreed at onboarding and updated periodically by mutual agreement. The applicable commission % is shown to the Vendor inside the vendor dashboard for each listing. HuddleOut deducts commission and applicable taxes before payout.
6. Bookings & Capacity
Vendor agrees to honour every confirmed booking. Time slots and blocked dates must be kept up to date in the vendor dashboard — HuddleOut is not liable for double-bookings caused by stale availability data. Last-minute cancellations by the Vendor (less than 48 hours) attract a penalty equal to the customer refund amount and may lead to listing suspension.
7. Quality Standards
Vendor agrees to maintain a customer rating of at least 4.0 / 5.0. Listings that fall below this threshold for more than 60 consecutive days may be paused for re-onboarding. Repeated complaints regarding safety, hygiene or staff conduct will lead to immediate delisting.
8. Payouts
Payouts are processed to the Vendor's registered bank account within the timeline specified in the partner agreement (typically Net-7 from experience date). Disputed bookings are held in escrow until resolved.
9. Confidentiality & Non-Solicitation
Vendor agrees not to solicit HuddleOut's customers off-platform for the listed experience for the duration of the partnership and 12 months thereafter. HuddleOut keeps Vendor commercials confidential.
10. Indemnity
Vendor indemnifies HuddleOut from any claim, liability or loss arising from (a) deficiencies in service delivery, (b) injury or property damage at the Vendor's premises, (c) regulatory non-compliance, or (d) any breach of these terms.
11. Termination
Either party may terminate the partnership with 30 days' notice. HuddleOut may terminate immediately for safety concerns, fraud, repeated quality issues, or breach of these terms.
12. Governing Law
These terms are governed by the laws of India. Disputes shall be referred to arbitration in Bangalore under the Arbitration and Conciliation Act, 1996, and otherwise to the exclusive jurisdiction of the courts in Bangalore, Karnataka.
